Express Conditions
Conditions that the parties explicitly state in a contract.
Plain English
Express conditions are requirements that the parties clearly write or say must happen before one side has to perform. For instance, a contract might state 'payment is due only after the goods are delivered' or 'the sale is final only if the inspection passes.' These conditions are directly stated by the parties, not implied by law or circumstance.
Example
A home purchase contract includes an express condition: 'The buyer's obligation to close is conditioned on obtaining a mortgage loan at 6% interest or lower.' If the buyer cannot get a loan at that rate, they are not required to buy the house.
